TERMS OF SERVICE

Scope — Vector Input provides IT infrastructure, SEO, and custom web development services under the regulations of Ajman, UAE.

Governing Law — These terms are governed by the Federal Laws of the United Arab Emirates. Disputes shall be settled in the courts of Ajman.

Ownership — All code, logic, and digital assets produced by Vector Input remain our property until full contractual payment is finalized.

Client License — Upon completion, clients receive a license to use the software for its intended purpose within their business operations.

Account Safety — Users are responsible for the security of their credentials when accessing our platforms via Google OAuth.

Compliance — Any use of our infrastructure for activities violating the UAE Cybercrime Law is strictly prohibited.

SLA — While we aim for 99.9% uptime, we are not liable for outages caused by upstream providers like Supabase or global DNS issues.

Performance — SEO rankings are subject to third-party algorithms. We apply best practices but do not guarantee fixed ranking positions.

Payment Schedule — All fixed-price projects follow a 40/30/30 instalment structure: 40% deposit upon order confirmation, 30% upon design and structure approval, and the remaining 30% upon final delivery.

Non-Refundable Deposit — The initial 40% deposit is strictly non-refundable once the order is confirmed, regardless of whether the project has commenced. This deposit secures the service slot and covers initial planning work.

Payment Deadlines — Subsequent instalments (30% and 30%) are due within 5 business days of the corresponding milestone approval. Failure to pay within this period may result in project suspension until payment is received.

Late Payments — Invoices unpaid after 10 business days of the due date may incur a late fee of 5% of the outstanding amount per week, in accordance with UAE commercial practices.

Delivery Hold — Final deliverables, source files, and transfer of ownership will not be released until full payment has been received and cleared.

Cancellation Before Start — If the client cancels after order confirmation but before project commencement, the 40% deposit is forfeited in full. No refund will be issued as the slot and planning resources have been allocated.

Cancellation After Commencement — If the client cancels once the project has started, all payments made up to that point are retained by Vector Input as compensation for work completed and resources committed. No partial refunds will be issued.

Cancellation by Vector Input — In the rare event that Vector Input is unable to complete the project due to circumstances within our control, a pro-rata refund will be issued based on work not yet delivered.

Dispute Resolution — Any disputes regarding cancellations or refunds must be submitted in writing to billing@mail.vectorinput.ae within 7 days of the triggering event. Disputes will be handled in accordance with the laws of the UAE.

Defined Scope — All projects are executed based on the service description agreed upon at the time of order. Any features, pages, or functionalities not explicitly included in the original scope will be treated as additional work and quoted separately.

Revision Rounds — Each project includes 2 rounds of revisions at no extra cost. A revision round is defined as a consolidated set of feedback submitted in a single communication. Additional revision rounds will be billed at AED 150 per round.

Client Approval — The client is required to provide feedback or approval within 5 business days of each deliverable submission. Silence beyond this period will be treated as implicit approval and the project will proceed to the next phase.

Scope Changes — Requests to change the project scope after commencement must be submitted in writing. Vector Input reserves the right to revise the timeline and pricing accordingly before proceeding.

Confidentiality — Both parties agree to keep confidential any proprietary information, business data, or trade secrets shared during the engagement. This obligation survives termination of the contract.

Force Majeure — Vector Input shall not be held liable for delays or failures caused by circumstances beyond our reasonable control, including but not limited to third-party platform outages, changes in UAE regulations, natural disasters, or internet infrastructure failures.

Managed Domains — For Website-as-a-Service (WaaS) subscriptions, Vector Input registers and manages the domain name to ensure seamless service and rapid deployment. The domain remains under our management while the subscription is active.

Domain Release Fee — If a client wishes to cancel their WaaS subscription and transfer the domain to their own registrar within the first 12 months, a domain release fee of AED 200 applies to cover registration and administrative transfer costs. After 12 months of continuous active subscription, the domain may be transferred upon request at no additional cost.

Non-Refundable Setup — The initial Setup Fee covers domain registration, environment configuration, and initial deployment. This fee is non-refundable once the project commences.

Service Activation — Monthly billing begins only after the website is live and approved by the client.
